Important Notice

Please read these Terms & Conditions carefully before engaging ThoughtHeads (Arya Global, Inc.) for any services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.

1. Agreement to Terms

These Terms constitute a legally binding agreement between you and ThoughtHeads (Arya Global, Inc.), a Georgia corporation at 2208 Hanford Ln, Tucker, GA 30084, USA. By using our website or services, you agree to these Terms.

2. Services Provided

ThoughtHeads provides IT Staffing & Recruiting, IT Consulting, Custom Software Development, and Managed Services. Specific scope, deliverables, timelines, and fees are detailed in individual Statements of Work (SOW).

3. Client Responsibilities

Clients agree to provide timely and accurate information, designate a primary point of contact, provide necessary system access, review deliverables promptly, and make payments per the agreed schedule.

4. Intellectual Property Rights

Custom deliverables created under a SOW are assigned to the client upon full payment. ThoughtHeads retains rights to its Background IP. A non-exclusive license is granted for Background IP embedded in deliverables.

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information including business plans, technical specs, pricing, and client lists. These obligations survive termination for three (3) years.

6. Payment Terms

Invoices are due Net 30. Late payments accrue 1.5% monthly interest. Services may be suspended after 15 days overdue. All fees are in USD exclusive of applicable taxes.

7. Limitation of Liability

ThoughtHeads' total liability shall not exceed fees paid in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

8. Indemnification

You agree to indemnify ThoughtHeads against claims arising from: your violation of these Terms, violation of applicable law, infringement of third-party IP rights, or your negligence or willful misconduct.

9. Governing Law

These Terms are governed by the laws of the State of Georgia, USA. Legal proceedings shall be brought in state or federal courts in DeKalb County, Georgia.

10. Dispute Resolution

Disputes will first be resolved through good-faith negotiation within 30 days. Unresolved disputes proceed to binding arbitration under AAA Commercial Rules in Atlanta, Georgia.

11. Termination

Either party may terminate with 30 days written notice. ThoughtHeads may terminate immediately for material breach, insolvency, or illegal use. Sections on IP, Confidentiality, and Liability survive termination.

12. Modifications to Terms

ThoughtHeads may modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of services constitutes acceptance of revised Terms.
